This Electronic Disclosure and Consent (“E-Sign Consent”) explains how Biz Capital Depot LLC (“Biz Capital Depot,” “we,” “us,” or “our”) will provide records, disclosures, and notices to you electronically, and how you may sign documents electronically, in accordance with the federal Electronic Signatures in Global and National Commerce Act (“E-SIGN Act”) and the Florida Uniform Electronic Transaction Act.
Please read this E-Sign Consent carefully and keep a copy for your records. By checking a box, clicking a button, or otherwise indicating your agreement when you submit an application, form, or request through our websites or Services, you consent to receive Communications electronically and to use electronic signatures as described below.
1. Scope of Your Consent
Your consent applies to all records, disclosures, notices, agreements, authorizations, and other information relating to your use of our websites and Services (collectively, “Communications”), including:
- These agreements, our Terms of Use, our Privacy Policy, and any updates to them
- Applications, order forms, registration forms, and authorizations you submit
- Confirmations, receipts, and status updates about your applications, orders, or requests
- Disclosures and notices that we are required by law to provide to you in writing
- Service agreements, fee disclosures, and payment authorizations
- Any other communication relating to your relationship with Biz Capital Depot LLC
Financing Providers that you choose to work with may ask for your separate consent to receive their own communications electronically. Their requirements are governed by their own disclosures and agreements.
2. How We Will Provide Communications
We may provide Communications to you by:
- Displaying them on our websites or within an online form or portal
- Sending them to the email address you provided to us
- Sending a text message that contains a link to the Communication, where you have consented to receive text messages
- Providing a link from which you can view, download, or print the Communication
A Communication is considered delivered to you when it is sent to the email address you provided, or when it is made available to you on our websites with notice to you, whether or not you open or read it.
3. Electronic Signatures
You agree that checking a box, clicking a submit or accept button, typing your name, or using any other electronic method to indicate your agreement constitutes your electronic signature. Your electronic signature has the same legal effect as a handwritten signature and binds you to the terms of the document or authorization you are signing.
If you submit a form on behalf of a business, you represent that you are authorized to sign electronically on behalf of that business.
4. Hardware and Software Requirements
To access and retain electronic Communications, you will need:
- A computer, tablet, or smartphone with an Internet connection
- A current version of a commonly used web browser, such as Chrome, Safari, Edge, or Firefox, with cookies and JavaScript enabled
- Software that can open PDF files
- A valid email address that you can access
- Sufficient storage space to save Communications, or a printer to print them
If our hardware or software requirements change in a way that creates a material risk that you will not be able to access or retain electronic Communications, we will notify you and give you the opportunity to withdraw your consent without any fee.
5. Paper Copies
You may request a paper copy of any Communication we provided electronically by emailing contact@bizcapitaldepot.com with “Paper Copy Request” in the subject line. Please describe the Communication you are requesting and include your mailing address. We will provide one paper copy free of charge. Requesting a paper copy does not by itself withdraw your consent to electronic Communications.
6. Withdrawing Your Consent
You may withdraw your consent to receive Communications electronically at any time by emailing contact@bizcapitaldepot.com with “Withdraw E-Sign Consent” in the subject line. There is no fee to withdraw your consent.
Withdrawal takes effect after we have had a reasonable period of time to process it and does not affect the legal validity of any Communication provided or document signed electronically before the withdrawal took effect. Because our Services are offered primarily online, withdrawing your consent may mean that we are unable to continue processing your application or providing certain Services.
7. Keeping Your Contact Information Current
You agree to keep your email address, telephone number, and mailing address current. To update your contact information, email contact@bizcapitaldepot.com or call (800) 276-8870. We are not responsible for Communications that are not received because your contact information was out of date.
8. Your Acknowledgment
By providing your consent, you confirm that:
- You have read and understand this E-Sign Consent
- You are able to access and retain Communications in the electronic formats described above
- You consent to receive Communications electronically and to sign documents electronically
