Biz Capital Depot LLC may provide access to AI-powered technology designed to analyze applicants' personal and business financial profiles and identify potential financing opportunities.
Our platform may evaluate information including credit history, credit scores, income, business revenue, business age, financial obligations, and other relevant eligibility factors.
The technology may identify financing products and providers whose published or available requirements appear consistent with an applicant's profile.
A financing match, recommendation, or displayed offer does not constitute guaranteed approval or a binding commitment to lend.
1.3 Financing Provider Network
Our Services may connect applicants with independent banks, credit unions, lenders, financing companies, and other financial institutions (collectively, "Financing Providers").
Biz Capital Depot LLC does not control the underwriting requirements, approval decisions, financing amounts, interest rates, fees, or repayment terms established by independent Financing Providers.
1.4 Financing Application Assistance
When separately authorized by a Customer, Biz Capital Depot LLC may assist with preparing, submitting, or coordinating financing applications to participating Financing Providers.
Any authorization to submit an application or access credit information must comply with applicable laws and any separate consent requirements.
1.5 Additional Services
Biz Capital Depot LLC may introduce additional products, financial technology solutions, or business services.

2. IMPORTANT FINANCING DISCLOSURES
2.1 Biz Capital Depot LLC Is Not a Direct Lender
Biz Capital Depot LLC is not a bank or direct lender and does not independently approve, underwrite, or issue loans or credit products through its lender-matching Services.
We provide technology, application assistance, referrals, and related services intended to help applicants explore financing opportunities.
2.2 No Guarantee of Funding
BIZ CAPITAL DEPOT LLC DOES NOT GUARANTEE FINANCING APPROVAL, A PARTICULAR LOAN AMOUNT, CREDIT LIMIT, INTEREST RATE, OR FUNDING TIMELINE.
Financing decisions depend on factors determined by the applicable Financing Provider, including:
- Personal and business creditworthiness
- Credit history
- Income and revenue
- Debt obligations
- Business financial performance
- Industry and business classification
- Underwriting requirements
- Verification of submitted information
- Other applicable eligibility criteria
2.3 Financing Offers
Any financing amount, estimated qualification, or potential offer displayed through our platform is informational unless expressly identified as a binding offer by the Financing Provider.
Final financing terms must be reviewed and accepted directly through the applicable lender or its authorized application process.
2.4 No Obligation to Accept Financing
Customers are not required to accept a financing offer solely because they use our platform or receive a financing recommendation.
However, any separate service agreement may establish payment obligations relating to services performed or financing accepted.
2.5 Independent Financial Decisions
Customers are responsible for evaluating financing products and determining whether the repayment terms, fees, interest rates, and other conditions are appropriate for their financial circumstances.
3. USER ELIGIBILITY AND RESPONSIBILITIES
3.1 Eligibility
You must be at least 18 years of age and legally capable of entering into binding agreements to use our Services.
If acting on behalf of a business, you represent that you have the authority to act for that business.
3.2 Accurate Information
You agree to provide accurate, truthful, current, and complete information when registering, creating a profile, or applying for financing.
Providing fraudulent, misleading, materially incomplete, or intentionally inaccurate information is strictly prohibited.
Biz Capital Depot LLC may suspend or terminate access where submitted information appears fraudulent or materially inaccurate.

You are responsible for maintaining the confidentiality of your account credentials and taking reasonable steps to prevent unauthorized account access.
You agree to promptly notify Biz Capital Depot LLC if you become aware of suspected unauthorized account activity.

4.1 Credit Information
Certain Services may require information regarding personal or business credit history.
Where legally permitted and properly authorized, Biz Capital Depot LLC may obtain, review, or process credit information to assist with financing eligibility assessments.
4.2 Credit Report Authorization
Access to consumer credit reports is subject to applicable law, including the Fair Credit Reporting Act (FCRA).
Where required, we will obtain appropriate authorization and ensure that a legally permissible purpose exists before requesting consumer credit information.
4.3 Credit Inquiries

Depending on the Financing Provider and the type of application, these inquiries may be classified as soft inquiries or hard inquiries.
Hard inquiries may affect personal credit scores.
Customers should review the applicable lender's disclosures before authorizing any credit inquiry.
4.4 Financial Information Sharing
When properly authorized, Biz Capital Depot LLC may share relevant financial information with participating Financing Providers for financing-related purposes.
Such information may include personal identification, business details, credit information, income, revenue, and supporting financial documents.
Information sharing is further governed by our Privacy Policy and applicable law.
5. ARTIFICIAL INTELLIGENCE AND TECHNOLOGY SERVICES
5.1 Automated Matching
Our platform may use artificial intelligence, automated analysis, algorithms, and third-party financial technology to evaluate financing eligibility and identify potential lender matches.
5.2 Accuracy of Technology
Although we seek to provide useful and accurate financing information, automated systems may produce incomplete, outdated, or inaccurate results.
Biz Capital Depot LLC does not warrant that every recommendation, lender match, or financing estimate will be accurate or available.
5.3 Third-Party Technology
Certain platform functions may depend on independent technology providers.
Service interruptions, changes to third-party systems, or provider limitations may affect the availability or performance of our Services.
5.4 No Automated Approval Guarantee
Automated matching results do not replace the independent underwriting, verification, and approval procedures of Financing Providers.
5.5 Technology Updates
Biz Capital Depot LLC may modify, improve, suspend, or discontinue platform features, subject to applicable contractual and legal obligations.
6. FEES AND PAYMENT TERMS
6.1 Service Fees
Certain Biz Capital Depot LLC Services may require payment.
Fees may include technology access fees, credit report fees, application assistance fees, consulting fees, or financing facilitation fees, depending on the Services selected.
Applicable charges will be disclosed through the relevant purchase process or separate service agreement.
6.2 Financing Facilitation Fees
Certain financing assistance services may be subject to a success-based fee.
Where a separate Funding Services Agreement provides for a 12% financing facilitation fee, that fee will be calculated and payable according to the terms of that agreement.
These Terms do not independently impose a 12% fee on every customer or financing transaction.
6.3 Third-Party Charges
Third-party providers may charge additional fees for credit reports, financial products, verification services, or other services.
Any such charges will be subject to the applicable disclosures and agreements.
6.4 Payment Authorization
By providing a payment method and expressly authorizing a transaction, you authorize the applicable disclosed charges.
Recurring payments, if offered, will require appropriate disclosure and authorization.
6.5 Refunds and Cancellations
Refunds and cancellations are governed by the terms presented at purchase, any applicable separate service agreement, and governing law.
No provision of these Terms eliminates refund, cancellation, or other rights that cannot legally be waived.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Ownership
The websites, software, platform interfaces, graphics, trademarks, logos, written content, and other proprietary materials associated with Biz Capital Depot LLC are owned by the Company or its applicable licensors.

Customers should carefully review third-party agreements before accepting financing or providing additional personal information.
Nothing in these Terms excludes responsibility that Biz Capital Depot LLC may have under applicable law for its own actions or omissions.
9. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITES, SOFTWARE, TECHNOLOGY PLATFORMS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
Biz Capital Depot LLC disclaims implied warranties to the extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and noninfringement.
We do not guarantee that:
- The Services will operate without interruption.
- The platform will always be free from technical errors.
- Every applicant will receive financing matches.
- Every displayed financing opportunity will remain available.
- Any applicant will receive financing approval.
- A particular financing amount or interest rate will be obtained.
- Any financing application will be completed within a particular timeframe.
Nothing in this section limits warranties, rights, or remedies that cannot lawfully be excluded.
10. LIMITATION OF LIABILITY AND INDEMNIFICATION
10.1 Limitation of Liability
To the maximum extent permitted by applicable law, Biz Capital Depot LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the Services, including lost profits, lost business opportunities, or service interruptions.
This limitation does not apply to liability that cannot legally be limited or excluded.
10.2 Aggregate Liability
To the extent permitted by applicable law, the Company's aggregate liability arising from these Terms or the Services shall not exceed the amount paid by the Customer directly to Biz Capital Depot LLC for the particular Services giving rise to the claim during the twelve months preceding the event giving rise to liability.
Where no fee was paid, any limitation of liability remains subject to applicable law and judicial review.
10.3 Independent Financing Decisions
Biz Capital Depot LLC is not responsible for independent underwriting decisions, loan denials, financing terms, or lender conduct except to the extent liability arises from the Company's own legally actionable conduct.
10.4 Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Biz Capital Depot LLC and its officers, employees, and authorized representatives against third-party claims, damages, and reasonable expenses resulting from your fraudulent conduct, unlawful use of the Services, or material violation of these Terms.
This provision does not require you to indemnify the Company for its own negligence, misconduct, or violation of law.
11. DISPUTE RESOLUTION AND BINDING ARBITRATION
11.1 Informal Dispute Resolution
Before commencing arbitration or litigation, the parties agree to make a good-faith effort to resolve disputes informally.

The parties will have thirty (30) days after receipt of the notice to attempt resolution, unless a different period is required by law.
11.2 Agreement to Arbitrate
Except as otherwise provided in these Terms or required by applicable law, disputes arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration.
Arbitration shall be administered by the American Arbitration Association ("AAA") under the applicable consumer or commercial arbitration rules, as appropriate to the dispute.
The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration agreement to the extent applicable.
11.3 Location of Arbitration
Unless the parties agree otherwise or applicable law requires a different arrangement, in-person arbitration proceedings shall take place in Palm Beach County, Florida.
Where applicable rules permit, arbitration may be conducted remotely or through written submissions.
11.4 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY AGREES TO BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS OR REPRESENTATIVE PROCEEDING.
The enforceability of this provision is subject to applicable law.
11.5 Exceptions
Nothing in this section prevents a party from pursuing a qualifying claim in small claims court, seeking appropriate provisional relief, or submitting complaints to government regulators.
Claims that cannot lawfully be subjected to mandatory arbitration are excluded.
11.6 Arbitration Fees
Arbitration fees and costs shall be allocated according to the applicable AAA rules and governing law.
11.7 Right to Opt Out
You may opt out of this arbitration agreement by sending written notice to contact@bizcapitaldepot.com within thirty (30) days after first accepting these Terms.
Your notice must identify your name, the email associated with your account, and your intention to opt out of arbitration.
Opting out will not affect your ability to use the Services or the remaining provisions of these Terms.
12. TELEPHONE, EMAIL, AND TEXT MESSAGE COMMUNICATIONS
12.1 Contact Information
You agree to provide accurate contact information and update it when necessary.
12.2 Service Communications
Biz Capital Depot LLC may contact you concerning your account, financing applications, service requests, security matters, and other transactional matters using legally permitted communication methods.
12.3 Marketing Communications
Where required by applicable law, we will obtain separate consent before sending promotional calls, prerecorded messages, automated calls, or marketing text messages.
Consent to receive promotional communications is not a condition of purchasing Services.
12.4 Text Message Opt-Out

12.5 Email Opt-Out
You may unsubscribe from promotional emails through the unsubscribe link contained in applicable messages or by contacting the Company.

We seek to implement reasonable security safeguards appropriate to the sensitivity of the information we process.
No Internet-based service can guarantee absolute protection against all security risks.
14. RESTRICTIONS ON USE
Users may not:
- Use the Services for fraudulent or illegal purposes.
- Provide false identity, credit, income, or business information.
- Access or attempt to access accounts without authorization.
- Interfere with website or software security.
- Introduce malware or malicious code.
- Scrape or systematically extract protected platform data without authorization.
- Misrepresent an affiliation with Biz Capital Depot LLC.
- Resell or commercially exploit the Services without written permission.
- Use the Services in violation of applicable federal, state, or local law.
The Company may investigate suspected violations and take lawful action to protect its operations and users.
15. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law or another mandatory legal provision controls.
Subject to the arbitration agreement and applicable law, any permitted court proceeding arising from these Terms shall be brought in a court of competent jurisdiction located in Palm Beach County, Florida, or the corresponding federal judicial district.
Nothing in this section deprives consumers of protections or rights that cannot legally be waived.
16. MODIFICATIONS TO TERMS
Biz Capital Depot LLC reserves the right to modify these Terms to reflect changes in technology, services, business operations, or applicable legal requirements.
Updated Terms will be published with a revised effective date.
Where legally required, material changes will be communicated through appropriate notice, and additional consent will be obtained when necessary.
Continued use of the Services after revised Terms become effective may constitute acceptance where permitted by law.
17. ACCOUNT SUSPENSION AND TERMINATION
17.1 Suspension

- Unauthorized account access

- Violations of these Terms

17.2 Termination by Customer
Customers may request account closure by contacting contact@bizcapitaldepot.com.
17.3 Outstanding Obligations
Account closure does not automatically eliminate payment obligations lawfully incurred under separate agreements.
17.4 Data Retention
Following account closure, information may be retained as required or permitted by applicable law and our Privacy Policy.
18. GENERAL PROVISIONS
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable additional agreements, govern the relationship between the Customer and Biz Capital Depot LLC concerning the Services.
Where a separately executed agreement contains terms specifically governing a purchased Service, that agreement controls with respect to its subject matter in the event of a conflict.
18.2 Severability
If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain effective to the extent permitted by law.
18.3 No Waiver
Failure to enforce any provision shall not constitute a waiver of the right to enforce that provision later.
18.4 Assignment
Biz Capital Depot LLC may assign these Terms in connection with a lawful merger, acquisition, reorganization, or transfer of business assets, subject to applicable law.
Customers may not transfer their accounts or contractual obligations without prior written consent, except where prohibited by law.
18.5 Force Majeure
Neither party shall be responsible for delays or failures in performance caused by events beyond its reasonable control, except for payment obligations or other responsibilities that cannot legally be excused.
18.6 Survival
Provisions concerning intellectual property, accrued payment obligations, dispute resolution, liability limitations, confidentiality, and other terms intended by their nature to survive shall remain effective after termination, subject to applicable law.
